Please Read Carefully
These Terms of Service govern your use of the BillBird platform. By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service. Key sections you should pay particular attention to: Section 7 (Acceptable Use), Section 15 (Disclaimers and Limitation of Liability), Section 16 (Indemnification), and Section 19 (Governing Law and Dispute Resolution).

Definitions

The following terms have the meanings given below throughout these Terms of Service:

"BillBird" / "We" / "Us"BillBird, a company registered in Poland, operating the Service at www.billbird.io.
"Service"The BillBird subscription intelligence platform, including the web application, APIs, email scanning functionality, spend analysis, market intelligence features, and all related tools available at www.billbird.io.
"User" / "You"Any individual or legal entity that creates an account and accesses or uses the Service.
"Account"The registered profile created by a User to access the Service.
"Content"Any data, information, text, or materials submitted to or generated by the Service, including extracted subscription data, analyses, and recommendations.
"Email Data"Email metadata and content processed by the Service solely for the purpose of identifying subscriptions, as further described in our Privacy Policy.
"IMAP Credentials"App-specific passwords and email account connection details provided by the User to enable email scanning.
"Subscription Plan"The tier of Service access selected by the User (Free, Pro, or Business), as set out at www.billbird.io/pricing.
"Intellectual Property"All patents, trademarks, service marks, trade names, domain names, copyrights, database rights, design rights, know-how, trade secrets, and any other intellectual property rights, whether registered or unregistered.
"Terms"These Terms of Service, together with the Privacy Policy and any other policies or notices published on the Service.

Acceptance and Eligibility

2.1 Acceptance of Terms

By accessing or using the Service, creating an Account, or clicking "I Agree" or similar, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (available at www.billbird.io/privacy). These Terms constitute a legally binding agreement between you and BillBird.

2.2 Eligibility

You may only use the Service if you:

  • Are at least 18 years old;
  • Have the legal capacity to enter into binding contracts under the laws of your jurisdiction;
  • Are not a person barred from using the Service under applicable law;
  • If registering on behalf of a company or legal entity, have authority to bind that entity to these Terms.

By using the Service, you represent and warrant that you meet all eligibility requirements. BillBird reserves the right to request proof of eligibility at any time and to terminate accounts that do not comply.

2.3 Changes to These Terms

BillBird may modify these Terms from time to time. Material changes will be communicated by email to your registered address at least 30 days before taking effect, and by a prominent notice within the Service. Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and delete your account before the effective date.

Description of the Service

3.1 Core Functionality

BillBird is an intelligent subscription management platform. The Service provides:

  • Automated identification and extraction of subscription and recurring-payment information from your connected email account via IMAP;
  • A unified dashboard displaying all detected subscriptions, billing amounts, frequencies, and renewal dates;
  • Spending analysis by software category, including monthly and annual cost summaries and trend data;
  • Market intelligence and algorithmically generated recommendations for alternative tools based on features, pricing, and value;
  • Renewal reminders and notifications before billing dates;
  • Data export in XLSX and CSV formats.

3.2 Service Availability

BillBird will use commercially reasonable efforts to make the Service available 24 hours a day, 7 days a week, except for: (a) scheduled maintenance, of which we will give reasonable advance notice; (b) unscheduled maintenance in the event of an emergency; and (c) circumstances outside BillBird's reasonable control (see Section 20.8 — Force Majeure).

BillBird does not guarantee uninterrupted or error-free access to the Service and shall not be liable for any downtime unless caused by BillBird's gross negligence or wilful misconduct.

3.3 Service Modifications

BillBird reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, provided that: (a) material reductions to core functionality will be communicated at least 30 days in advance; (b) paid subscribers will receive a pro-rata refund for any pre-paid period affected by a material discontinuation; and (c) BillBird will provide reasonable migration assistance on request.

3.4 Beta Features

BillBird may from time to time offer beta or preview features. These are provided "as is" without any warranty, may be discontinued at any time, and are excluded from any service level commitments. Your use of beta features is at your own risk.

Accounts and Registration

4.1 Account Creation

To access the Service, you must create an Account by providing a valid email address and password. You may also register via supported third-party authentication providers. You agree to provide accurate, current, and complete information and to keep this information up to date.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

  • Use a strong, unique password and enable two-factor authentication where available;
  • Use app-specific passwords (not your main email account password) for IMAP connections;
  • Notify BillBird immediately at hello@billbird.io if you suspect unauthorised access to your account;
  • Log out of your account at the end of each session when using shared devices.

BillBird will not be liable for any loss or damage arising from your failure to maintain account security, except where caused by BillBird's negligence.

4.3 One Account per User

Each User may maintain only one Account unless BillBird has expressly agreed otherwise in writing. Accounts are personal and non-transferable.

4.4 Account Suspension and Termination by BillBird

BillBird may suspend or terminate your Account without prior notice if:

  • You breach any provision of these Terms;
  • We reasonably suspect fraudulent, abusive, or unlawful activity;
  • Required to do so by law or a competent authority;
  • You have not logged into your account for 12 consecutive months (free accounts only) — we will send a reminder email 30 days before any such deletion.

Where permitted, BillBird will give reasonable notice before suspension or termination and explain the reason. Where a suspension is later found to be unjustified, BillBird will restore your account and, for paid subscribers, provide appropriate compensation.

Subscription Plans and Payment

5.1 Plans

The Service is available on the following plans, as detailed at www.billbird.io/pricing:

  • Free — limited functionality, no payment required;
  • Core — basic individual functionality, monthly or annual billing;
  • Pro — full functionality, monthly or annual billing.

5.2 Payment

Payments for paid plans are processed by Stripe (Plus Five Five, Inc.). By subscribing to a paid plan, you authorise BillBird to charge your payment method on a recurring basis in accordance with your selected billing cycle (monthly or annual). All prices are exclusive of applicable taxes unless stated otherwise.

You are responsible for providing accurate and complete billing information. BillBird is not responsible for failed payments resulting from incorrect billing information or insufficient funds.

5.3 Automatic Renewal

Paid subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. You may cancel auto-renewal at any time via Account Settings.

BillBird may, at its sole discretion, send renewal reminder notifications by email in advance of an upcoming renewal charge. Such reminders are not sent by default and BillBird makes no commitment to send them on any regular basis.

5.4 Price Changes

BillBird may change subscription pricing with at least 30 days' written notice to affected subscribers. Price changes will take effect at the start of your next billing cycle following the notice period. If you do not agree to the new price, you may cancel your subscription before the new price takes effect and will continue to have access for the remainder of the pre-paid period.

5.5 Taxes

Prices displayed may be exclusive of VAT, sales tax, or other applicable taxes. Where BillBird is required to collect taxes, these will be added at checkout. You are responsible for all taxes applicable to your use of the Service in your jurisdiction.

5.6 Cancellation and Refund Policy

5.6.1 No Refunds — Subscription-Based Pricing

ALL SUBSCRIPTION FEES PAID TO BILLBIRD ARE NON-REFUNDABLE. By subscribing to a paid plan, you acknowledge and agree that: (a) subscription fees are charged in advance for the applicable billing period; (b) no refunds or credits will be issued for any unused portion of a billing period following cancellation; and (c) no refunds will be issued for partial months or partial annual terms, regardless of the reason for cancellation.

This no-refund policy applies to all circumstances including, but not limited to: dissatisfaction with the Service; failure to use the Service during a billing period; changes to your subscription needs; or accidental purchase.

5.6.2 Right to Cancel — No Future Charges

You may cancel your subscription at any time via Account Settings. Cancellation takes effect at the end of your current billing cycle. Following cancellation:

  • You will retain full access to the Service until the end of the current paid billing period;
  • No further charges will be made after the end of the current billing cycle;
  • Your account will revert to the Free plan (if available) or be deactivated at the end of the billing period.

Cancellation does not entitle you to any refund of fees already paid for the current or any previous billing period.

5.6.3 Service Discontinuation by BillBird

Notwithstanding Section 5.6.1, if BillBird permanently discontinues the Service in its entirety, users on annual plans who have pre-paid for a period that has not yet commenced or is partially unused will receive a pro-rata refund calculated from the date of discontinuation to the end of their pre-paid annual term. Monthly plan subscribers will not receive a refund on discontinuation, as no future period will have been pre-paid beyond the current billing cycle.

For the avoidance of doubt: the removal, modification, or discontinuation of individual features (including Intelligence Features, market intelligence, or specific integrations) does not constitute discontinuation of the Service and does not give rise to any refund entitlement.

5.6.4 Mandatory Consumer Rights

Nothing in this Section 5.6 limits or excludes any rights you may have under mandatory applicable consumer protection law that cannot be excluded by contract. In particular, consumers in Poland and the EU may have a statutory 14-day right of withdrawal for distance contracts under the Polish Consumer Rights Act (ustawa o prawach konsumenta) and EU Directive 2011/83/EU. However, by expressly requesting that the Service commence before the 14-day withdrawal period expires and acknowledging that performance has begun, you agree that you lose the right of withdrawal once the Service has fully commenced. BillBird will request such acknowledgment at the point of purchase.

5.6.5 How to Cancel

To cancel your subscription: go to Account Settings → Manage Subscription. Cancellation is effective immediately and will prevent renewal at the next billing cycle. You will receive a confirmation email upon successful cancellation. If you experience difficulty cancelling, contact hello@billbird.io.

IMAP Access and Email Data

6.1 Your Authorisation

By connecting an email account to the Service, you expressly authorise BillBird to access that email account via IMAP for the sole purpose of identifying subscription and recurring-payment emails. You confirm that:

  • You are the owner of, or are authorised to connect, the email account(s) you link to the Service;
  • You have the right to grant BillBird the access described in these Terms and in the Privacy Policy;
  • You will use app-specific passwords (not your main account password) for IMAP connections wherever your email provider supports this.

6.2 Scope of Access

BillBird accesses your email account only to the minimum extent necessary to detect subscription-related messages. We do not read, store, or process personal correspondence, attachments, or emails unrelated to subscriptions. Raw email content is processed in memory only and is not persistently stored after extraction. For full details, see our Privacy Policy at www.billbird.io/privacy.

6.3 Credential Security

Your IMAP credentials are encrypted using AES-256 envelope encryption before storage. Encryption keys are stored separately from the encrypted credentials. You may disconnect any connected email account at any time via Account Settings, upon which your IMAP credentials are permanently deleted.

6.4 No Warranty on Extraction Accuracy

The accuracy of subscription detection depends entirely on the presence and content of email confirmations in your connected email account. BillBird does not warrant that all subscriptions will be detected or that extracted data will be error-free. You are responsible for reviewing extracted data for accuracy. You may add comments to any subscription record or contact hello@billbird.io to request corrections.

Email-Dependent Detection — Inherent Limitations

THE SERVICE DETECTS SUBSCRIPTIONS SOLELY BY SCANNING EMAILS IN YOUR CONNECTED EMAIL ACCOUNT. BILLBIRD CANNOT AND DOES NOT DETECT SUBSCRIPTIONS OR RECURRING CHARGES FOR WHICH NO EMAIL CONFIRMATION, RECEIPT, OR NOTIFICATION HAS BEEN SENT TO YOUR CONNECTED EMAIL ACCOUNT.

As a result, the following categories of subscriptions and charges may not appear in your BillBird dashboard, regardless of whether they are active:

  • Subscriptions where the vendor does not send email confirmations, receipts, or billing notifications;
  • Subscriptions where confirmation emails are sent to a different email address than the one connected to the Service;
  • Subscriptions billed directly to a bank account, credit card, or payment method without generating an email notification;
  • Subscriptions managed through an app store (e.g. Apple App Store, Google Play Store) where billing emails are not forwarded to your connected account;
  • Subscriptions where the vendor's emails are filtered, archived, blocked, or otherwise not present in the folders scanned by the Service;
  • Subscriptions set up or modified after the most recent email scan, until the next scan occurs;
  • Free trials that have not yet generated a billing email;
  • Subscriptions billed in a currency or format not recognised by our detection algorithms.

BillBird does not represent that its dashboard provides a complete or exhaustive list of all your active subscriptions or recurring charges. You should not rely on BillBird as your sole method of tracking financial commitments. BillBird is not responsible for any undetected charges, missed cancellation windows, or financial loss arising from subscriptions not identified by the Service.

6.5 Your Responsibility for Connected Email Accounts and IMAP Credentials

You are solely responsible for: (a) ensuring that connecting your email account to the Service does not violate your email provider's terms of service; (b) the security of the app-specific passwords you generate and provide to BillBird; (c) revoking IMAP access via Account Settings when you no longer wish to use the Service; and (d) any consequences arising from your email account being accessed via the IMAP credentials you have provided. BillBird is not responsible for any breach of your email provider's terms arising from your use of the IMAP connection feature.

6.5.1 Maintenance of IMAP App-Specific Passwords

The Service connects to your email account using an app-specific IMAP password generated by you within your email provider's security settings. You are solely responsible for ensuring that this app-specific password remains active and valid within your email provider's account for as long as you wish to use the Service. In particular, you acknowledge and agree that:

  • If you delete, revoke, or expire the app-specific password within your email provider's settings, BillBird's connection to your email account will be immediately and automatically broken. The Service will be unable to scan your emails or update your subscription data until the connection is restored.
  • BillBird does not store your app-specific password in a form that can be displayed to you after initial submission. Your IMAP credential is encrypted immediately upon receipt and is not recoverable in plain text by you or by BillBird at any subsequent point. You are responsible for retaining a secure copy of any app-specific password you generate, if you wish to refer to it again.
  • To restore a broken connection you must either: (i) re-enter the same app-specific password (if you have retained a secure copy) in the Connected Accounts section of your BillBird account settings; or (ii) generate a new app-specific password within your email provider's security settings and update it in the Connected Accounts section of your BillBird account settings.
  • BillBird is not responsible for any disruption to the Service, gaps in subscription detection, missed renewal reminders, or any other consequences arising from the deletion, expiry, or revocation of your IMAP app-specific password, whether intentional or inadvertent.
  • BillBird will use reasonable efforts to notify you by email if a connection failure is detected. However, BillBird cannot guarantee timely detection of all connection failures and is not liable for any period during which the Service operates on stale or incomplete data as a result of a broken connection.

For guidance on generating and managing app-specific passwords, please refer to your email provider's documentation. BillBird does not provide technical support for your email provider's account settings.

6.6 No Action Taken on Your Behalf

BillBird does not cancel, modify, negotiate, or interact with any subscription service on your behalf. Unlike some competing services, BillBird is a read-only intelligence tool. We access your email data solely to identify and display subscription information. All decisions and actions regarding your subscriptions — including cancellations, upgrades, downgrades, or switches — are your sole responsibility and must be taken directly with the relevant vendor.

Acceptable Use Policy

7.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. Permitted use includes: managing your own subscriptions; analysing your own software spend; and making decisions about your own software choices based on BillBird's recommendations.

7.2 Prohibited Conduct

You must not, directly or indirectly:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • Connect email accounts belonging to others without their explicit consent;
  • Attempt to reverse engineer, decompile, disassemble, or derive source code from the Service;
  • Circumvent, disable, or interfere with security features of the Service, including encryption or access controls;
  • Use automated tools (bots, scrapers, crawlers) to access or extract data from the Service beyond the functionality provided;
  • Upload, transmit, or distribute viruses, malware, or any other harmful code;
  • Engage in denial-of-service attacks or any activity that disrupts or degrades the Service for other users;
  • Attempt to gain unauthorised access to any part of the Service, other user accounts, or BillBird's infrastructure;
  • Resell, sublicense, or commercially exploit the Service or its outputs without prior written consent from BillBird;
  • Use the Service to collect or process data about third parties without their consent;
  • Impersonate BillBird or any other person or entity;
  • Use the Service in a manner that violates any third party's rights, including Intellectual Property rights or privacy rights.

BillBird reserves the right to investigate suspected violations of this Acceptable Use Policy and to take appropriate action, including account suspension, termination, and reporting to law enforcement authorities.

Intellectual Property

8.1 BillBird's Intellectual Property

The Service, including all software, algorithms, interfaces, designs, trademarks, service marks, trade names, and content created by BillBird, is the exclusive property of BillBird and is protected by Polish and EU intellectual property laws. Nothing in these Terms grants you any ownership rights in or to the Service or BillBird's Intellectual Property.

8.2 Licence to Use the Service

Subject to your compliance with these Terms and payment of applicable fees, BillBird grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your own personal or internal business purposes during the term of your subscription.

8.3 Your Content and Data

You retain all ownership rights in your data, including extracted subscription data and any content you submit to the Service. By using the Service, you grant BillBird a limited licence to process your data solely as necessary to provide the Service and as described in the Privacy Policy. BillBird does not claim ownership of your data and will not use it for any purpose beyond providing the Service.

8.4 Feedback

If you provide BillBird with feedback, suggestions, or ideas about the Service ("Feedback"), you grant BillBird a perpetual, irrevocable, worldwide, royalty-free licence to use, incorporate, and commercialise such Feedback without any obligation to you. BillBird is not required to treat any Feedback as confidential.

8.5 Market Intelligence and Recommendations

BillBird's market intelligence features and tool recommendations are generated using proprietary algorithms and publicly available market data. These outputs are provided for informational purposes only and do not constitute professional financial, business, or procurement advice. BillBird does not receive any commission, referral fee, or other compensation from software vendors for recommendations made through the Service.

Not a Financial, Legal, or Professional Advisor

BillBird is a subscription intelligence and spend management tool.

THE SERVICE IS INTENDED ONLY TO ASSIST YOU IN ORGANISING, TRACKING, AND ANALYSING YOUR SOFTWARE SUBSCRIPTIONS. BILLBIRD IS NOT A FINANCIAL PLANNER, FINANCIAL ADVISOR, INVESTMENT ADVISOR, BROKER, TAX ADVISOR, OR LEGAL ADVISOR.

The market intelligence and tool recommendations provided by the Service are generated by BillBird's Intelligence Features based on publicly available data and are for informational purposes only. They do not constitute financial advice, professional procurement advice, or a recommendation to take any specific action. Your business and personal circumstances are unique, and information obtained through the Service may not be appropriate for your situation.

Before making any decision to cancel, switch, or procure software based on BillBird's recommendations, you should conduct your own due diligence and, where appropriate, consult a qualified professional adviser. BillBird is not responsible for any decisions you make in reliance on information or recommendations provided by the Service.

Intelligence Features

10.1 Intelligence-Powered Functionality

Certain features of the Service, including market intelligence analysis, tool recommendations, and spending insights, are powered by proprietary algorithmic processing and data analysis (collectively, "Intelligence Features"). By using these features, you acknowledge and agree that:

  • Intelligence outputs, including recommendations, summaries, and analyses, may be inaccurate, incomplete, outdated, or not suited to your specific situation;
  • You are responsible for independently reviewing all intelligence outputs before acting on them;
  • Intelligence Features are provided as informational tools only and do not constitute professional advice of any kind;
  • BillBird does not guarantee that Intelligence Features will be error-free, uninterrupted, or available at all times;
  • BillBird may modify, suspend, or discontinue any Intelligence Feature at any time without notice.

10.2 No Reliance on Intelligence Outputs

DO NOT rely on Intelligence Features as a substitute for professional financial, legal, procurement, or technical advice. BillBird shall not be liable for any loss, damage, or harm arising from your reliance on intelligence outputs, recommendations, or analyses. You assume full responsibility for any decisions made based on intelligence outputs.

10.3 Limitations of Intelligence Features

Intelligence Features analyse data available at the time of processing and may not reflect recent market changes, pricing updates, product discontinuations, or other developments. Market intelligence data may be stale, incomplete, or based on publicly available information that may not accurately reflect actual pricing or availability in your region or for your use case.

Data Freshness, Accuracy, and Extracted Information

11.1 Extracted Data May Be Incomplete or Inaccurate

The subscription data extracted by the Service is based on email content at the time of scanning. BillBird does not warrant that extracted data is complete, accurate, current, or error-free. Specifically:

  • Subscriptions may not be detected if the relevant emails are not present in your connected email account, are in a format not recognised by our algorithms, or are filtered to folders not scanned by the Service;
  • Billing amounts, dates, and frequencies extracted may not reflect the most recent changes to your subscription;
  • A subscription shown in your dashboard may have already been cancelled, modified, or transferred;
  • A subscription that has lapsed or been paused may still appear as active until the next scan.

11.2 Stale Data

Subscription data displayed in your dashboard reflects the state of your email account at the time of the most recent scan. BillBird cannot guarantee that data is up to date at any given moment. For the most accurate information about a subscription, you should check directly with the relevant vendor.

11.3 Your Responsibility to Verify

You are responsible for verifying the accuracy of all subscription data displayed in the Service before taking any action, including cancelling, modifying, or switching a subscription. BillBird is not responsible for any financial loss, unexpected charges, service interruptions, or other consequences arising from actions taken based on inaccurate, incomplete, or stale data displayed in the Service.

11.4 User Corrections

If you identify an error in extracted subscription data, you may add comments to the relevant record or contact hello@billbird.io to request a review. BillBird will make reasonable efforts to investigate and correct errors but does not guarantee that all errors can be remediated.

Renewal Reminders and Notifications

BillBird may send renewal reminder notifications by email before detected subscription billing dates. You acknowledge and agree that:

  • Renewal reminders are based on billing dates extracted from your email and may be inaccurate or outdated;
  • BillBird cannot guarantee the delivery, timeliness, or accuracy of any renewal reminder;
  • A renewal reminder is informational only — it is not a confirmation of an actual upcoming charge from a vendor;
  • BillBird is not liable for any delays, failures to deliver, or misdirected delivery of any notification;
  • BillBird is not liable for any action taken or not taken by you in reliance on a renewal reminder, including any unexpected charges arising from a missed or incorrect reminder;
  • You should not rely solely on BillBird notifications to manage your subscriptions. You remain responsible for monitoring your own billing directly with your vendors.

User Representations and Warranties

By using the Service, you represent and warrant to BillBird, on a continuing basis, that:

  • All information you provide to BillBird, including account information, billing information, and email account details, is true, accurate, current, and complete;
  • You are the legal owner of, or are duly authorised to connect, any email account(s) you link to the Service;
  • You have the authority to grant BillBird access to the email accounts you connect, and doing so does not violate any agreement you have with your email provider or any third party;
  • You will promptly update your information if it changes, to ensure it remains accurate;
  • Your use of the Service complies with all applicable laws and regulations in your jurisdiction;
  • If you are using the Service on behalf of a company or legal entity, you have full authority to bind that entity to these Terms;
  • You will not use the Service in any manner that could damage, disable, overburden, or impair BillBird's infrastructure or interfere with any other party's use of the Service.

BillBird reserves the right to terminate your account immediately and without notice if you breach any of the above representations and warranties.

Privacy and Data Protection

BillBird processes your personal data in accordance with our Privacy Policy, available at www.billbird.io/privacy and incorporated into these Terms by reference. The Privacy Policy describes: what personal data we collect; how we use it; with whom we share it; your rights as a data subject under GDPR; and how to exercise those rights.

By using the Service, you acknowledge that you have read and understood the Privacy Policy. Where the Privacy Policy and these Terms conflict on data protection matters, the Privacy Policy will prevail.

BillBird is the data controller for personal data processed in connection with the Service. BillBird is registered in Poland and subject to GDPR (EU) 2016/679.

Disclaimers and Limitation of Liability

15.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BILLBIRD DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF INFORMATION.

In particular, BillBird does not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) any subscription data extracted by the Service will be complete, accurate, or up to date; (c) the Service will meet your specific requirements; or (d) any market intelligence or recommendations provided will result in cost savings or improved outcomes.

15.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BILLBIRD'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO BILLBIRD IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) €100.

IN NO EVENT SHALL BILLBIRD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, EVEN IF BILLBIRD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15.3 Consumer Rights

Nothing in these Terms limits or excludes BillBird's liability for: (a) death or personal injury caused by BillBird's negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be limited or excluded under applicable Polish or EU consumer protection law, including the Polish Consumer Rights Act (ustawa o prawach konsumenta) and EU Directive 2011/83/EU; or (d) any other liability that cannot be excluded by law.

If you are a consumer (an individual using the Service for personal, non-commercial purposes), you may have additional rights under Polish and EU consumer protection law that are not affected by these Terms.

15.4 Accuracy of Recommendations

Market intelligence and tool recommendations provided by the Service are based on publicly available data and algorithmic analysis. They are informational only. BillBird is not responsible for any decisions you make based on these recommendations. You should conduct your own due diligence before changing or cancelling any subscription.

Indemnification

You agree to indemnify, defend, and hold harmless BillBird, its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Service in violation of these Terms;
  • Your violation of any applicable law or regulation;
  • Your violation of any third party's rights, including Intellectual Property rights or privacy rights;
  • The email accounts you connect to the Service, including any claim by a third party relating to your authorisation to connect those accounts;
  • Any data or content you submit to the Service.

BillBird reserves the right to assume exclusive control of any matter subject to indemnification, in which case you agree to cooperate with BillBird in asserting any available defences.

Third-Party Services and Links

17.1 Third-Party Processors

The Service uses third-party service providers including Supabase, Vercel, Cloudflare, N8N, Stripe, and Resend. Your use of the Service is also subject to the terms and policies of these providers to the extent they process your data. BillBird is not responsible for the acts or omissions of third-party processors except as set out in our Privacy Policy.

17.2 Stripe Payments

Payment processing is handled by Stripe, Inc. By submitting payment information, you also agree to Stripe's terms of service at stripe.com/legal. BillBird never sees or stores your full card numbers.

17.3 Email Providers

Your use of the IMAP connection feature is subject to the terms of service of your email provider (e.g. Google, Microsoft). BillBird is not responsible for any breach of your email provider's terms arising from your use of the Service. You are responsible for ensuring that your use of IMAP app-specific passwords complies with your email provider's policies.

17.4 Third-Party Links and Recommendations

The Service may include links to third-party websites or references to third-party products and services as part of the market intelligence and recommendations features. These links and references are provided for your convenience only. BillBird does not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party website or product. Your interactions with third parties are solely between you and them.

Termination

18.1 Termination by You

You may terminate your account and delete your data at any time via Account Settings → Delete Account, or by emailing hello@billbird.io. Termination does not entitle you to a refund for any pre-paid subscription fees except as set out in Section 5.6. Upon account deletion: IMAP credentials are deleted immediately; personal data is deleted within 30 days; billing records are retained for 7 years as required by law.

18.2 Termination by BillBird

BillBird may terminate your account in accordance with Section 4.4. Where BillBird terminates your account without cause, paid subscribers will receive a pro-rata refund for the unused pre-paid period.

18.3 Effect of Termination

Upon termination of your account for any reason: (a) your licence to use the Service ends immediately; (b) you must cease all use of the Service; (c) BillBird will delete your personal data in accordance with the Privacy Policy. Sections 1, 7, 8, 9, 10, 11, 12, 13, 15, 16, 19, and 20 of these Terms survive termination.

Governing Law and Dispute Resolution

19.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict of law provisions. Where EU law applies directly (including GDPR), EU law takes precedence.

19.2 Consumer Rights under EU Law

If you are a consumer resident in the EU, you benefit from the mandatory consumer protection provisions of the law of your country of residence, which cannot be derogated from by agreement. Nothing in these Terms affects your rights as a consumer under applicable EU or national law. The EU Online Dispute Resolution platform is available at: ec.europa.eu/consumers/odr.

19.3 Informal Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve it informally. Please contact BillBird at hello@billbird.io with a description of the dispute. BillBird will make good faith efforts to resolve the matter within 30 days.

19.4 Jurisdiction

If informal resolution fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Warsaw, Poland, subject to any mandatory consumer protection provisions that grant consumers the right to bring proceedings in their country of residence.

20

General Provisions

20.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies or notices published by BillBird on the Service, constitute the entire agreement between you and BillBird with respect to the Service and supersede all prior agreements, representations, and understandings.

20.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

20.3 Waiver

BillBird's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of BillBird.

20.4 Assignment

You may not assign or transfer any of your rights or obligations under these Terms without BillBird's prior written consent. BillBird may freely assign its rights and obligations under these Terms, including in connection with a merger, acquisition, or sale of assets, subject to the notification requirements in the Privacy Policy.

20.5 Notices

Notices from BillBird to you will be sent to the email address associated with your account. Notices from you to BillBird should be sent to hello@billbird.io. Notices are deemed received on the day sent (for email) or within 3 business days of posting (for written correspondence to BillBird).

20.6 Language

These Terms are written in English. If translated into another language, the English version shall prevail in the event of any conflict.

20.7 Relationship of the Parties

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and BillBird. You have no authority to bind BillBird to any obligation.

20.8 Force Majeure

BillBird shall not be liable for any delay or failure to perform its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, pandemics, power outages, or failure of third-party infrastructure (including cloud service providers). BillBird will notify you promptly of any such event and will use reasonable efforts to minimise the impact.

20.9 Complaints

If you have a complaint about the Service, please contact us first at hello@billbird.io. We aim to resolve all complaints within 10 business days. If you are a consumer and are not satisfied with our response, you may contact the Polish Trade Inspection (Inspekcja Handlowa) or use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
